Step #1:  The Process

Phase I, Preparation

Buyer Screening

  1. Understand your objectives, company, industry and market place experience

  2. Screen potential buyers for financial capability and alignment with goals of companies for sale

  3. Secure signed Confidentiality Agreements from interested Buyers

  4. Provide an Executive Summary on firms for sale with response instructions to pre-qualified buyers.

Phase II, Search

Buyer Visits

  1. Provide the Confidential Offering Memorandum, approved by business owner, to buyers whose interests continue

  2. Work with seller to answer buyer questions

  3. Schedule site visits and buyer introductions with business owner.

Offers to Purchase

  1. Assist buyers in the preparation of Offers to Purchase

  2. Negotiate price and terms suitable to both parties

Phase III, Closing

Final Discovery and Negotiations

  1. Help buyer facilitate due diligence

  2. Assist in look for funding alternatives that deliver the best financing to buyer

  3. Assist in the formulation, negotiation, and signing of the Purchase Agreement

Closing

  1. Work to resolve any outstanding issues as closing approaches

  2. Coordinate the final closing

  3. Conduct post-closing review with seller and buyer

  4. Complete post-closing details between seller and buyer.
